Terms of Service

Introduction

Welcome to the OBC Virtual Secretariat (the “Platform”), owned and operated by the OECS Business Council (OBC) (“we,” “us,” or “our”). This Policy outlines the terms and guidelines for using our Platform. By accessing or using the Platform, you agree to comply with this Policy.  If you do not agree, you must discontinue use of the platform immediately.

Eligibility and Account Requirements

To access and use the Platform, you must be at least 18 years of age or have the legal authority to do so. When registering for an account, you are required to provide accurate, complete, and current information. You are responsible for keeping your login credentials secure and for any activity conducted through your account.

We prohibit unauthorized account sharing, fraudulent transactions, and any misuse of the platform. Any violation of these Terms may result in immediate suspension or termination of your account.

User Responsibilities and Compliance

Users are solely responsible for ensuring that all information provided to the OBC is accurate and up to date. Any inaccuracies or failure to provide complete and truthful information may result in account suspension and termination.

‍

By accessing or using the Platform, you agree to comply with all applicable laws, rules, and regulations. You are solely responsible for your conduct while using the Platform and for any data, content, or materials you submit, post, or otherwise transmit through the service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use or suspected breach of security.

Failure to comply with these responsibilities may result in suspension or termination of your account and access to the Platform.

Prohibited Conduct & Account Suspension

We are committed to maintaining a secure and compliant platform. Users are strictly prohibited from engaging in fraudulent transactions and misrepresentation or utilizing the Platform for illegal activities. Any such actions may result in immediate account termination.

Users must also ensure that their interactions on the Platform  remain professional and respectful. Abusive behavior, threats, or fraudulent activity may result in immediate termination of services and legal action.

Failure to comply with these responsibilities may result in suspension or termination of your account and access to the Platform.

Force Majeure (Natural Disasters & Unforeseeable Events)

‍

The OBC is not responsible for any delays, disruptions, or inability to provide services due to circumstances beyond our reasonable control. This includes, but is not limited to, natural disasters such as hurricanes, earthquakes, and floods, as well as government-imposed restrictions, strikes, supply chain disruptions, war, terrorism, cyberattacks, or pandemic-related restrictions.

In the event of a force majeure occurrence, The OBC may suspend or modify its services without incurring any liability. If a force majeure event significantly impacts operations, The OBC will provide an update on service adjustments, but users accept that disruptions may persist until conditions stabilize.

Fraud Prevention and Account Security

‍

The OBC is committed to maintaining the security of its platform and protecting users from fraudulent activity. All user accounts are monitored for suspicious behavior, including unauthorized access attempts.

If fraudulent activity is suspected, The OBC reserves the right to temporarily suspend the account and request additional verification before reinstating access. Users agree to cooperate with the OBC in investigating suspected fraud and to provide requested documentation, such as proof of identity or purchase receipts, when necessary.

Users are responsible for safeguarding their login credentials and account information. Sharing passwords, using weak credentials, or failing to update outdated security details may increase the risk of unauthorized account access. The OBC is not responsible for losses or damages resulting from compromised user accounts due to negligence.

User-Generated Content and Reviews

‍

The OBC may allow users to submit reviews, testimonials, or feedback about their experience with the service. By submitting such content, users grant the OBC a non-exclusive, royalty-free, perpetual license to use, modify, and distribute their submissions for marketing and promotional purposes.

The OBC reserves the right to moderate, edit, or remove user-generated content that is defamatory, misleading, offensive, or in violation of our policies. Users are prohibited from posting false reviews, impersonating others, or attempting to manipulate ratings through fake testimonials.

The OBC is not responsible for the opinions expressed by users in publicly submitted reviews. However, if a review contains false claims, sensitive personal data, or legally questionable statements, the OBC reserves the right to take appropriate action.

Third-Party Services and Integrations

‍

The OBC may integrate with third-party services to enhance the Platform’s experience. While we carefully select our partners, the OBC is not responsible for the performance, reliability, or policies of these third-party services.

By using the Platform users acknowledge that they may be required to agree to additional terms and conditions imposed by third-party service providers. The OBC is not liable for disruptions, errors, or losses caused by third-party integrations, nor can we guarantee that these services will always be available.

Data Protection and Privacy Commitments

We are committed to protecting your personal data and ensuring your privacy when using the Platform. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which forms an integral part of these Terms of Service.

By using the Platform, you acknowledge and agree that:

  • We may collect and process certain personal information to provide and improve our services, in accordance with applicable data protection laws and our Privacy Policy;
  • You consent to the collection, use, storage, and sharing of your information as described in the Privacy Policy;
  • It is your responsibility to review the Privacy Policy periodically to stay informed about how we handle your data.
  • We implement appropriate technical and organizational measures to protect your information against unauthorized access, loss, misuse, or alteration. However, no method of transmission over the Internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

‍Disputes, Governing Law, and Arbitration

The OBC’s terms of service shall be governed by the laws of  Saint Lucia

Modifications to the Terms

The OBC reserves the right to update these Terms of Service at any time. Any modifications will take effect immediately upon posting to the Platform. Users are responsible for reviewing these Terms periodically to stay informed of any changes.

The OBC will notify users of significant updates through email or in-app notifications where required by law, but continued use of the platform constitutes acceptance of the revised Terms. If a user does not agree with any modifications, they must cease using the Platform immediately.

Account Deletion and Data Removal

‍

Users may delete their account at any time directly on the Platform. Once a user completes the deletion action, the account and all associated data including profile details, addresses and any stored information are permanently and irreversibly removed from our systems. This deletion is immediate and cannot be undone. By proceeding with account deletion, users acknowledge that all data will be permanently lost and will no longer be accessible.

Account Termination and Violations

‍

The OBC reserves the right to terminate or suspend any user account found in violation of these Terms. This includes fraudulent activity and misuse of services. Upon termination,

Non-Waiver of Rights

‍

The OBC’s decision not to enforce any part of these Terms shall not be considered a waiver of its rights. Any waiver must be expressly stated in writing and will not apply to any future breaches or violations.

Users acknowledge that the OBC reserves the right to enforce these Terms at its sole discretion. A delay or failure to act in response to a breach does not waive the OBC’s right to take action at a later time. Continued violations of these Terms may result in legal action, suspension, or termination of the user’s account or access to services.

Severability and Survival of Terms

If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall continue in full force and effect. The invalid portion shall be revised only to the extent necessary to comply with legal requirements while maintaining the intent of the original provision.

Certain obligations, such as indemnification, dispute resolution, and data protection terms, will survive the termination of the user’s account. These provisions will remain enforceable even if the user discontinues their use of the OBC.

Final Provisions

‍

These Terms constitute the entire agreement between the OBC and the user. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

The OBC’s failure to enforce any right or provision under these Terms shall not be considered a waiver of those rights. Users may not transfer or assign their rights under these Terms without prior written consent from the OBC.
